Howard Berkenblit and Eric Victorson were quoted in the article, "SEC Has Careful Eye On Disclosures Amid Israel-Hamas War," published by Law360 [sub. req.'d].

The article discusses how the U.S. securities watchdog is urging U.S.-listed Israeli companies to disclose more details describing how the Israel-Hamas conflict is affecting their operations in order to keep investors apprised of risks. Attorneys for companies directly impacted by the Israel-Hamas conflict say SEC staff are closely monitoring risk disclosures. The scrutiny, which began last October, applies to periodic filings as well as registration statements for the sale of new securities.

"Every registration statement for Israeli companies is getting more screening review for risk factors due to the war," Howard told Law360.

Eric noted that SEC staff is taking a careful look to ensure that Israeli companies' disclosures are "really fulsome when it comes to the war with Hamas and the impact that's had on companies and their operations. One area where we've seen the SEC really hone in is in terms of the personnel, and whether any employees, especially members of management, have been called up to military service."
