Sue represents public and private companies with respect to matters involving securities law, mergers and acquisitions and general corporate law. She also represents sponsors and institutional investors in the formation of and investment in private investment funds for commercial timberland, commercial farmland and commercial real estate.

  • Represented a privately held dairy company in its acquisition of 12 dairy holding and operating companies located in multiple states for cash and securities
  • Represented a privately held global strategy consulting firm in its acquisitions of the assets of several domestic and international consulting businesses
  • Represented a private investor in the acquisition of assets of a fish farming and fish smoking business
  • Represented an institutional investor in the acquisition of assets for and the development of two anaerobic digester facilities

  • Represented a global commercial timberland investment management firm in its structuring, launch and closing of six commercial timberland investment funds structured as private REITs with aggregate offering proceeds in excess of $1.8 billion
  • Represented a global commercial timberland and farmland investment management firm in the structuring, launch and closing of an open-ended timberland and farmland investment fund, with private REIT and non-REIT subsidiary portfolio companies and structuring and launching an alternative investment fund passported for marketing in the European Union to invest, in part, in such open-ended timberland and farmland investment fund and a similar investment strategy
  • Represented a global commercial timberland investment management firm in the structuring, launch and closing of a commercial timberland and carbon credit investment fund
  • Represented various domestic and foreign issuers in private placements of debt and equity securities with aggregate offering proceeds in excess of $2 billion
  • Represented the global commercial timberland and farmland investment management firm sponsor in a restructuring transaction to extend the fixed term of a closed end timberland investment fund
  • Represented the sponsor in the structure, launch and closing of several U.S. multifamily real estate investment funds
