Sue represents public and private companies with respect to matters involving securities law, mergers and acquisitions and general corporate law. She also represents sponsors and institutional investors in the formation of and investment in private investment funds for commercial timberland, commercial farmland and commercial real estate.

  • Represented a publicly held company in the vehicle recovery technology business in its acquisition of the stock of a Canadian public company for cash and exchangeable shares
  • Represented a privately held dairy company in its acquisition of 12 dairy holding and operating companies located in multiple states for cash and securities
  • Represented a privately held global strategy consulting firm in its acquisitions of the assets of several domestic and international consulting businesses
  • Represented a private investor in the acquisition of assets of a fish farming and fish smoking business
  • Represented an institutional investor in the acquisition of assets for and the development of two anaerobic digester facilities
  • Represented a privately held technology company in its auction sale to a private equity firm
  • Represented a global commercial timberland investment management firm in its structuring, launch and closing of six commercial timberland investment funds structured as private REITS with aggregate offering proceeds in excess of $1.8 billion
  • Represented a global commercial timberland and farmland investment management firm in the structuring, launch and closing of an open-ended timberland and farmland investment fund, with private REIT and non-REIT subsidiary portfolio companies
  • Represented a global commercial timberland investment management firm in the structuring and launch of a commercial timberland and carbon credit investment fund
  • Represented various domestic and foreign issuers in private placements of debt and equity securities with aggregate offering proceeds in excess of $1 billion
  • Represented the sponsor in the structure, launch and closing of a US multifamily real estate investment fund
