Reut serves as Co-Managing Partner of our Tel Aviv office. Reut specializes in advising public companies listed for trade on the Tel Aviv Stock Exchange with respect to corporate law and securities law, with particular expertise in the high-tech, life sciences and medical cannabis arena. She also advises Israeli companies dually listed in Israel and abroad, in addition to foreign companies, on issues pertaining to corporate law, corporate governance and securities law.

Reut’s practice also focuses on public and private debt and equity financing, commercial transactions and agreements, mergers and acquisitions, issues of compliance and corporate governance, as well as regular commercial and legal advice.

As the head of the firm’s medical cannabis group, Reut demonstrates deep experience in the medical cannabis area and its regulatory requirements in Israel, Europe, Canada and United States. Reut and the firm’s medical cannabis group represent private and public companies at any stage in the value chain, investors and influencing figures in the industry, and is able to support clients through complex and evolving issues.   • Represented CannAssure Ltd. in a merger acquisition with Direct Capital Investments Ltd., a public company traded on the Tel Aviv Stock Exchange Ltd.
  • Represented a foreign holding company in a share purchase agreement with a company in the medical cannabis field, in an aggregate amount of $4 million
  • Represented a private investor of MedReleaf Corp. (MedRelealf), a public company traded on Toronto Stock Exchange, in the sale of MedReleaf Corp to Aurora Cannabis Inc.
  • Represented a foreign holding company in a share purchase agreement with a company operation for the development of a medicine/drug in the medical cannabis field, in an aggregate amount of $1 million
  • Represented a foreign holding company in an investment in the amount of NIS 15 million, for the establishment of a medical cannabis activity in a kibbutz in Israel
  • Representing a private investor in a share purchase agreement in an aggregate amount of €5,000,000 with a company operating to grow and cultivate the cannabis flower in Spain
  • Representing a private investor in negotiations for an investment in the amount of $3 million in the field of medical cannabis in Macedonia
  • Representing a foreign holding company in negotiations for an investment in the amount of $5.7 million in a company operating to extract oils from the cannabis flower in Europe
  • Representing a Mexican company in negotiations for an investment in the amount of $80 million in the medical cannabis field
  • Represented Insuline Medical Ltd, a public company traded on Tel Aviv Stock Exchange Ltd., in a merger acquisition by Yaad Sihan Projects Management and Entrepreneurship Ltd. (Yaad Sihan), a private company involved in the non-bank loans field and in the bio-med field. As a result of the transaction, Yaad Sihan main shareholders became the controlling shareholders in Insuline, holding 74% of the issued and outstanding shares in Insuline
  • Represented Insuline Medical Ltd, a public company traded on the Tel Aviv Stock Exchange Ltd., in the process of four different public offerings at an aggregate amount of $4 million. In addition, the legal team represented the company in raising capital through a private placement to several investors
  •  Represented private investors in a share purchase agreement with a company in the medical cannabis field, in an aggregate amount of $1.6 million
  • Represented private investors in a second round of investment of an aggregate amount of $3 million reflecting a pre-money valuation of $39 million post money, in a company in the medical cannabis field
  • Represented IceCure Medical Ltd., a public company traded on the Tel Aviv Stock Exchange Ltd., in a rights offering in an aggregate amount of $5 million
  • Represented IceCure Medical Ltd. a public company traded on the Tel Aviv Stock Exchange Ltd., in a public offering of shares in an aggregate amount of $2.5 million
  • Represented a private investor in a share purchase agreement with a company in the medical cannabis field, at a value of $1 million post money
  • Represented Rimoni Industries Ltd., a public company traded on the Tel Aviv Stock Exchange Ltd., in a transaction for purchasing 100% of the business activity and shares of Friedrich Plastic Industry Ltd. (Friedrich)
  • Represented Rimoni Industries Ltd., a public company traded on the Tel Aviv Stock Exchange Ltd., in a transaction for purchasing 100% of the business activity and shares of Shiran Engineering (R&D) Ltd., including total shares of Metal Plast Engineering (M.P.E). Represented the company in negotiations with Shiran Engineering, handled the DD process and the entire deal structure
  • Represented Oramed Pharmaceuticals Inc in listing for a dual trading on the Tel Aviv Stock Exchange. The company is also traded on the NASDAQ and is accompanied by the firm’s offices in the United States
  • Represented Pluristem, Inc. (Nasdaq and TASE) in its follow on offerings and ATM transaction
  • Represented IceCure Medical Ltd., BSP – Biological Signal Processing Ltd., Insuline Medical Ltd. and HBL – Hadasit Bio-Holdings Ltd., all traded on the TASE, in their private and public offerings
  • Represented a private investor of MedReleaf Corp., a public company traded on the Toronto Stock Exchange, in the sale of MedReleaf Corp to Aurora Cannabis Inc.
  • Represented DE LIGHT Energy Efficiency Ltd., a private company in Israel, in a tendering process for the Local Government Economic Services of the Local Authority Ltd (MASHCAL).
  • Represented the controlling shareholder of H. Electronics Ltd. In a tender offer
  • Represented The Can Leaf Group in an investment in the amount of NIS 15 million, for the establishment of a medical cannabis activity in a kibbutz in the south of Israel
