Jake's practice focuses on executive compensation and employee benefits. He has extensive experience advising on executive compensation and employee benefits issues arising in mergers, acquisitions and other corporate transactions, including advising on issues with respect to Code Sections 83, 162(m), 280G and 409A. Jake assists asset management clients with structuring pension plan investments to avoid ERISA where possible (including using venture capital operating companies (VCOCs) or ensuring compliance with the so-called “25% test,” as appropriate). In addition, Jake focuses on the design and negotiation of employment agreements, equity plans and awards (including stock options, restricted stock, restricted stock units, profits interests and phantom equity), severance, change of control, retention and cash bonus plans and agreements. Jake also has experience advising on issues related to the administration and maintenance of welfare and fringe benefit arrangements and qualified retirement plans and executive compensation disclosure requirements for public companies.

Jake is also a former law clerk to Judge Bruce S. Jenkins of the United States District Court for the District of Utah.
