Brian is co-leader of Sullivan’s REITs Practice Group. He has experience advising publicly traded and closely held business entities, including REITs, in multiple areas, including issues related to mergers and acquisitions, business reorganizations, secured lending, debtor and creditor rights, and other commercial transactions and disputes.

Brian is an Adjunct Professor of Law at Notre Dame Law School, where he has taught in-person courses in advanced real estate transactions since 2021. He has been appointed as an adjunct faculty member at Boston University School of Law, where he taught REITs, RICs, and REMICs.

  • Provided tax and business counsel to business entities across diverse industries in large mergers and acquisitions
  • Provided tax representation to public companies, including REITs, in public debt and equity offerings totaling in excess of $30 billion
  • Advised start-up companies on issues related to choice of entity and structure of initial financing
  • Structured tax efficient succession plans for closely held businesses
  • Reviewed and responded to IRS audits challenging valuation of business interests resulting in millions of dollars in decreased taxes for clients
