Strategies for Competitive Compensation
David will identify various compensation programs typically available for consideration to enable ESOP companies to attract, incentivize, reward and retain the employees that can help a company achieve success. Topics of discussion will include:
- Base pay, annual incentive pay and long-term incentive plans
- The appropriateness of equity-based plans that include stock options, stock appreciation rights and/or phantom stock
- Typical design considerations in connection with such plans and the extent to which the ESOP itself should be considered as long-term compensation
- The role of the board of directors, management compensation consultants, and ESOP trustees in designing, adopting and monitoring these programs.
